1. Acceptance of these terms

These Terms of Service govern your use of the website at vertexorbis.com (the "Site"), operated by VertexOrbis Technologies ("VertexOrbis", "we", "us"), an independent technology studio based in Taiwan. By accessing or using the Site, you agree to these terms. If you do not agree, please do not use the Site.

2. Purpose of the Site

The Site is an informational website describing the services and areas of work of VertexOrbis and providing a way to get in touch. It does not provide user accounts, does not host customer data, and does not itself perform any service.

3. Inquiries and no binding offer

Content on the Site — including service descriptions, capability summaries and any illustrative material — is provided for general information only and does not constitute a binding offer, quotation or professional advice.

Submitting an inquiry does not create a contract between you and VertexOrbis. Any engagement is established only through a separate written agreement signed by both parties, which will set out scope, deliverables, timelines, fees and confidentiality obligations.

4. Acceptable use

You agree not to:

• use the Site for any unlawful purpose, or in breach of any applicable regulation;
• attempt to gain unauthorised access to the Site, its hosting infrastructure, or any related systems;
• probe, scan, overload, or otherwise interfere with the availability or integrity of the Site;
• scrape, copy or republish substantial portions of the Site's content without prior written permission;
• misrepresent your identity or affiliation when contacting us.

5. Intellectual property

Unless otherwise stated, all content on the Site — including text, layout, graphics, logos, icons and source code — is owned by or licensed to VertexOrbis and is protected by applicable intellectual property laws. The VertexOrbis name and logo are our marks. No licence is granted except the limited right to view the Site for your own informational purposes.

Third-party names and marks referenced on the Site remain the property of their respective owners and are used for identification purposes only. Their use does not imply any endorsement, sponsorship or partnership.

6. No warranty

The Site and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, VertexOrbis makes no warranties, express or implied, including as to accuracy, completeness, reliability, fitness for a particular purpose or uninterrupted availability. Descriptions of areas of work reflect current interests and capabilities and are not a commitment to deliver any specific outcome.

7. Limitation of liability

To the fullest extent permitted by applicable law, VertexOrbis shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or in connection with your use of, or inability to use, the Site.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.

8. Confidentiality of inquiries

Please do not send confidential, proprietary or security-sensitive material through the inquiry form or by unsolicited email. Information sent to us before a written confidentiality agreement is in place is not treated as confidential, although we will handle it in line with our Privacy Policy.

9. Third-party links and services

The Site may reference third-party websites or services. We do not control them and are not responsible for their content, availability or practices.

10. Availability and changes

We may modify, suspend or discontinue any part of the Site at any time without notice. We may also revise these terms from time to time; the "Last updated" date above will reflect the current version. Continued use of the Site after a revision constitutes acceptance of the revised terms.

11. Governing law and jurisdiction

These terms are governed by the laws of Taiwan (Republic of China), without regard to conflict-of-law rules. Subject to any mandatory consumer protection provisions, the courts of Taiwan shall have exclusive jurisdiction over any dispute arising from or relating to these terms or the Site.
